1. Progress-Based Compensation, Payment & Auto-Charge
The Buyer agrees that partial labor payments will be requested and made at any time by Handyman Elite LLC ("the Contractor") for labor or services completed up to that point (usually daily) based on a good faith assessment of work completed. If invoices are not paid by the end of the business day of receipt, interest accumulates at 1.5% per month (or the maximum legal rate), compounded monthly. All payments must be made via the Contractor’s official branded payment portal; a 3% transaction fee applies to credit/debit cards. If payment is not received upon project completion, Buyer authorizes Contractor to automatically charge any payment method on file to satisfy the balance. All payments are strictly final and non-refundable once tendered or work has commenced. Partial payments or acceptance thereof do not waive any rights or project completion requirements.
2. Cancellation & Site Access
If Buyer attempts to terminate prior to work commencement, Buyer shall pay 30% of the labor amount as liquidated damages. Canceling scheduled estimates incurs a $60 fee. If canceled after commencement, Buyer must pay for actual labor/materials expended plus lost profits up to 100% of the remaining contract price. A $60 trip charge applies if the Contractor cannot perform work due to absence, incorrect address, invalid lockbox code, or site inaccessibility.
3. Scope Changes, Rebidding & Utilities
Requested alterations or extensions will be added to the agreed price. If unforeseen site conditions require mandatory scope changes to complete the original work, Contractor may continue and bill reasonable labor and materials. Contractor reserves the right to rebid pricing, timelines, and terms if project scope, conditions, or technician assignments change. Buyer is solely responsible for operating main water shutoff valves when necessary.
4. Property Authorization & Non-Solicitation
By submitting a work order, Buyer confirms they are the legal property owner or an authorized agent/LLC representative. Misrepresentation results in service cancellation and legal liability. During this Agreement and for two years thereafter, Buyer shall not directly or indirectly solicit, hire, or engage any employee or contractor of Contractor; breach incurs a $5,000 fine per occurrence.
5. Right to Stop Work & Collection Fees
Contractor may suspend or terminate work immediately for non-payment, material breach, unsafe conditions, code violations, or communication breakdowns, without liability for delays. Overdue accounts assigned to collection will incur all third-party collection fees, reasonable court/attorney costs, and a $300 internal administrative processing fee.
6. Warranties & Hold Harmless
Labor warranties are limited strictly to written manufacturer terms unless extended in writing by Contractor. Full payment of all labor and materials is a mandatory prerequisite for any warranty or corrective service. Voluntary payment without written notice of deficiencies constitutes full acknowledgment of satisfactory completion. Buyer agrees to reimburse Contractor for all damages caused by Buyer's negligence.
7. Dispute Resolution & Arbitration
Unresolved disputes shall be submitted to non-binding mediation, then binding arbitration administered by a recognized association under commercial rules (a 3-arbitrator panel applies for claims over $10,000) in the project county, presided over by a construction law attorney. The prevailing party is entitled to recover all reasonable costs and attorney's fees. Contractor expressly reserves all mechanic's lien and statutory rights. The Buyer(s) "Accept" this provision.
8. Entire Agreement
This Agreement constitutes the complete understanding between the parties and supersedes all prior oral or written representations. Modifications must be in writing and signed by both parties.
9. Security Interest & Notice to Owner
Buyer grants Contractor a UCC security interest in all goods purchased until paid in full; items remain personal property regardless of real estate attachment.
FAILURE OF THIS CONTRACTOR TO PAY THOSE PERSONS SUPPLYING MATERIAL OR SERVICES TO COMPLETE THIS CONTRACT CAN RESULT IN THE FILING OF A MECHANIC'S LIEN ON THE PROPERTY WHICH IS THE SUBJECT OF THIS CONTRACT PURSUANT TO CHAPTER 429, RSMO. TO AVOID THIS RESULT YOU MAY ASK THIS CONTRACTOR FOR "LIEN WAIVERS" FROM ALL PERSONS SUPPLYING MATERIAL OR SERVICES FOR THE WORK DESCRIBED IN THIS CONTRACT. FAILURE TO SECURE LIEN WAIVERS MAY RESULT IN YOUR PAYING FOR LABOR AND MATERIAL TWICE.
